1. Acceptance of Terms

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and user agreement for access and/ or transacting and/ or usage of www.agappe.com and sets out the terms and conditions governing it and the disclaimer ("Terms & Conditions").

www.agappe.com is owned and operated by M/s. AGAPPE DIAGNOSTICS LTD, having its office at No. 401 & 402, Jaisingh Business Centre, 119, Sahar Road, Parsiwada, Andheri (East), Mumbai, Pin - 400099 and corporate office and factory at Agappe Hills, Pattimattom P. O.,Ernakulam District, Kerala (hereinafter referred to as “AGAPPE”,which expression shall, unless it be repugnant to the context or meaning thereof, include its successor or successors and assigns)

Use of this portal is regulated by Terms & Conditions provided herein. Your visit, dealing, transacting and/or otherwise using this Portal shall be treated as your unconditional acceptance of these Terms & Conditions in entirety. There is an option given during the course of every transaction to enable the User to express his/ her acceptance or rejection of these Terms & Conditions. Please exercise the said option during the course of any transaction after going through these Terms & Conditions, as your acceptance by clicking on "I Agree" shall be deemed that you have accepted these Terms & Conditions fully and you have gone through and understood these Terms & Conditions completely and these Terms & Conditions shall be treated as a legally binding and enforceable agreement between the Company and you. 2. Use of the Portal

1. You must be a registered distributor to access the Portal. You agree to provide accurate, current, and complete information during the registration process and to update such information on a periodical basis as necessary to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
2. You shall comply with the provisions of Information Technology Act, 2000 and the rules thereunder including Information Technology (Intermediary guidelines and digital media ethics code) Rules, 2021 and shall not host, display, upload, modify, publish, transmit, store, update or share any information that,—
3. belongs to another person and to which the user does not have any right;
4. is obscene, pornographic, paedophilic, invasive of another’s privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relating or encouraging money laundering or gambling [or an online game that causes user harm, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence;
5. is harmful to child;
6. infringes any patent, trademark, copyright or other proprietary rights;
7. deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature or, in respect of any business of the Central Government, is identified as fake or false or misleading by such fact check unit of the Central Government as the Ministry may, by notification published in the Official Gazette, specify;
8. impersonates another person;
9. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting other nation;
10. contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource; threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation;
11. is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;
12. is in the nature of an online game that is not verified as a permissible online game;
13. is in the nature of advertisement or surrogate advertisement or promotion of an online game that is not a permissible online game, or of any online gaming intermediary offering such an online game;
14. violates any law for the time being in force;

3. Content

The content provided on the Portal is for informational purposes only. We reserve the right to modify or discontinue any aspect of the Portal at any time. We do not guarantee the accuracy, completeness, or usefulness of any information on the Portal and we shall not be responsible for any errors or omissions in such information.

4. Intellectual Property

All content on the Portal, including but not limited to text, graphics, logos, button icons, images, audio clips, and software, is the property of Agappe Diagnostics Ltd. or its content suppliers and is protected by copyright laws applicable in India as well as throughout the world. You may not reproduce, modify, distribute, transmit, display, perform, or otherwise use any such content without the prior written consent of Agappe Diagnostics Ltd.

5. Limitation of Liability

In no event shall Agappe Diagnostics Ltd be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of or inability to use the Portal, whether based on warranty, contract, tort, or any other legal theory, and whether Agappe Diagnostics Ltd has been advised of the possibility of such damages.

6. Indemnification

You agree to indemnify, defend, and hold harmless Agappe Diagnostics Ltd, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Portal using your account.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India and any legal discrepancy or disputes will be heard or proceed in the exclusive jurisdiction of the courts at Ernakulam, Kerala, India.

8. Changes to Terms

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. Please check these Terms periodically for changes. Your continued use of the Portal following the posting of changes to these Terms will mean you accept those changes.
